About the Company: We are currently seeking a senior associate to join a leading Corporate Governance team to assist in the design and implementation of corporate reorganisation projects and the provision of company law advice. These services to are both international and domestic, and include global technology, pharmaceutical and aviation brands.
About the Role: This is a newly created senior associate position that will join an equity Corporate Partner, a Partner, two other corporate senior associate, two associates and two junior solicitors. You will lead your own team within this specialised department that will develop under your guidance.
Applicants will have 4 years’ corporate experience, ideally from a top or mid-tier law firm and strong transaction management skills.
This is a rare opportunity for a strong and ambitious corporate lawyer to develop their company law expertise in a client facing role, and to progress in their career, while maintaining a work-life balance that can be challenging in a transactional corporate role.
Responsibilities:
- Provision of company law and corporate governance advice, including in respect of shareholder and board matters, company capital, capital maintenance, financial assistance, transactions with directors and similar.
- Understanding a client’s corporate structuring needs and designing the reorganisation framework and steps to achieve its desired structure, while advising on the company law implications of the steps and company law rules to be navigated.
- Interpreting reorganisation plans prepared by other advisers and advising on the company law implications of the steps.
- Liaising with colleagues to input into reorganisation plans as appropriate, particularly tax, and managing their input.
- Implementing reorganisation projects, including the project management of the steps, the preparation and management of legal step plans and documents lists and coordinating completion.
